TaskQuality ("we," "us," or "our") operates the TaskQuality marketplace platform (the "Platform"), an online service that connects clients and freelancers for project-based work. These Terms and Conditions ("Terms") govern your access to and use of the Platform, including all features, content, and services.

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, Cookie Policy, and User Agreement. If you do not agree with any part of these Terms, you must immediately cease using the Platform.

1. Acceptance of Terms

Your use of the Platform constitutes your full acceptance of these Terms. We may update these Terms from time to time. Continued use of the Platform after any changes means you accept the updated Terms.

You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform.

2. Account Creation and Security

To access core features, you must register for an account. You agree to:

• Provide accurate, complete, and current information
• Update your information promptly if it changes
• Maintain the confidentiality of your password
• Notify us immediately of any unauthorized access

You are solely responsible for all activity on your account. We may suspend or terminate accounts for any violation of these Terms.

3. User Roles

The Platform supports two primary user roles:

• Clients: Individuals or entities posting projects and hiring freelancers
• Freelancers: Individuals offering services in response to project postings

Users may act in both roles, provided they comply with all applicable Terms and policies.

4. Platform Functionality

TaskQuality provides tools to:

• Post and browse project opportunities
• Submit and review proposals
• Communicate between clients and freelancers
• Process payments securely
• Manage project milestones and deliverables

We act only as a facilitator. We are not a party to any agreement between clients and freelancers.

5. Prohibited Activities

You must not use the Platform to:

• Violate any local, state, national, or international law
• Infringe copyrights, trademarks, or other intellectual property
• Post false, misleading, or defamatory content
• Harass, abuse, or threaten other users
• Transmit viruses, malware, or harmful code
• Circumvent payment systems or fees
• Scrape, crawl, or use automated tools without permission
• Impersonate any person or organization

6. Content Responsibility

You are solely responsible for all content you post, including project descriptions, proposals, messages, and deliverables. You represent and warrant that:

• You own or have rights to all submitted content
• Your content does not violate third-party rights
• Your content complies with these Terms

We may remove any content that violates these Terms without prior notice.

7. Fees and Payment

All transactions must occur through the Platform. TaskQuality charges service fees as displayed on the Platform. You agree to:

• Pay all fees when due
• Provide valid payment methods
• Resolve disputes directly with the other party

Fees are non-refundable except as expressly stated in our refund policy.

8. Intellectual Property

The Platform, its design, software, and branding are owned by TaskQuality and protected by copyright, trademark, and other laws. You may not:

• Copy, modify, or reverse engineer the Platform
• Remove any copyright or proprietary notices
• Use our trademarks without written permission

Ownership of project deliverables is governed by the agreement between client and freelancer.

9. Privacy and Data

We collect and use your information as described in our Privacy Policy. By using the Platform, you consent to such collection and use.

You must comply with all applicable data protection laws when handling personal information of other users.

10. Termination

You may close your account at any time. We may terminate or suspend your access immediately if you:

• Breach these Terms
• Engage in fraud or abuse
• Threaten the safety of the Platform or users

Termination does not affect obligations incurred before termination, including payment responsibilities.

11. Disclaimers

The Platform is provided "as is" and "as available." We do not warrant that:

• The Platform will be uninterrupted or error-free
• Services will meet your requirements
• Results will be accurate or reliable
• Any user will perform as expected

We are not responsible for the conduct of any user on or off the Platform.

12. Limitation of Liability

To the maximum extent permitted by law, TaskQuality shall not be liable for:

• Indirect, special, incidental, or consequential damages
• Loss of profits, revenue, data, or goodwill
• Business interruption

Our total liability for any claim shall not exceed the amount you paid us in the 12 months prior to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless TaskQuality, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your infringement of any third-party rights

14. Dispute Resolution

User-to-user disputes should be resolved directly between the parties. For disputes with TaskQuality:

• First attempt informal resolution via support
• If unresolved within 30 days, submit to binding arbitration
• Waive right to participate in class actions

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

16. Miscellaneous

Entire Agreement: These Terms constitute the full agreement between you and TaskQuality.

Severability: If any provision is invalid, the remainder remains in effect.

No Waiver: Failure to enforce any right does not waive that right.

Assignment: You may not assign your rights. We may assign ours without restriction.
