Welcome to TaskQuality. These Terms of Service ("Terms") govern your access to and use of the TaskQuality marketplace platform ("Platform"), operated by TaskQuality ("we", "us", "our"). By accessing or using our Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using TaskQuality, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Platform.

2. Eligibility

To use TaskQuality, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information

3. User Accounts

3.1 Account Creation

You must create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.3 Account Types

TaskQuality offers two types of accounts:

• Client Accounts: For users seeking to hire freelancers for projects
• Freelancer Accounts: For users offering services on the Platform

4. Platform Services

4.1 Marketplace

TaskQuality provides a marketplace that connects clients with freelancers. We facilitate the relationship but are not a party to any contracts between clients and freelancers.

4.2 No Employment Relationship

TaskQuality does not employ any freelancers. Freelancers are independent contractors responsible for their own taxes, insurance, and legal compliance.

5. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Post false, misleading, or fraudulent content
• Harass, threaten, or intimidate other users
• Attempt to circumvent the Platform's payment system
• Use automated systems to access the Platform without permission
• Transmit viruses, malware, or other harmful code
• Impersonate another person or entity
• Engage in any activity that disrupts or interferes with the Platform

6. Projects and Contracts

6.1 Project Creation

Clients may post projects with clear descriptions, requirements, budgets, and timelines. Clients are responsible for the accuracy of project information.

6.2 Proposals and Agreements

Freelancers may submit proposals for projects. When a client accepts a proposal, a binding contract is formed between the client and freelancer.

6.3 Work Performance

Freelancers agree to perform work in a professional manner and deliver services as described in the project agreement. Clients agree to provide necessary information and cooperation.

7. Payments and Fees

7.1 Service Fees

TaskQuality charges service fees for the use of the Platform. Current fee structures are available on our website and may be updated with notice.

7.2 Payment Processing

All payments are processed through the Platform. Clients agree to pay for services as agreed. Freelancers agree to accept payment through the Platform.

7.3 Refunds and Disputes

Payment disputes between clients and freelancers should be resolved directly between the parties. TaskQuality may assist in dispute resolution but is not obligated to provide refunds.

7.4 Taxes

Users are responsible for determining and paying all applicable taxes related to their use of the Platform.

8. Intellectual Property

8.1 Platform Content

The Platform and its original content, features, and functionality are owned by TaskQuality and are protected by international copyright, trademark, and other intellectual property laws.

8.2 User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant TaskQuality a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating the Platform.

8.3 Work Product

Rights to work product created through the Platform are determined by the agreement between the client and freelancer.

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TaskQuality does not:

• Guarantee the quality, accuracy, or reliability of services provided by freelancers
• Warrant that the Platform will be uninterrupted or error-free
• Endorse any user, project, or content on the Platform
• Guarantee successful completion of any project

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKQUALITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims under these Terms shall not exceed the amount paid by you to TaskQuality in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless TaskQuality and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another party.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us. You remain liable for all obligations incurred prior to termination.

13.2 Termination by Us

We may suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice. We may also terminate or suspend access to the Platform immediately, without prior notice or liability.

14. Dispute Resolution

14.1 Informal Resolution

We encourage users to first attempt to resolve disputes informally by contacting us at support@mrtaskly.com.

14.2 Arbitration

Any dispute arising from these Terms or the Platform shall be resolved through binding arbitration in accordance with applicable arbitration rules, rather than in court.

14.3 Class Action Waiver

You agree to resolve disputes with TaskQuality on an individual basis and waive any right to participate in class actions.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TaskQuality operates, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

17. General Provisions

17.1 Entire Agreement

These Terms constitute the entire agreement between you and TaskQuality regarding the Platform and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

By using TaskQuality, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
