TaskQuality ("we," "us," or "our") operates the TaskQuality marketplace platform (the "Platform"), a service that connects clients and freelancers for project-based work. This User Agreement ("Agreement") sets forth the legally binding terms and conditions for your use of the Platform.

By accessing or using the Platform, you agree to be bound by this Agreement, our Privacy Policy, and Cookie Policy. If you do not agree, you may not use the Platform.

1. Eligibility

To use the Platform, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have full legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable law
• Provide accurate and complete information during registration

We reserve the right to suspend or terminate accounts that violate these eligibility requirements.

2. Account Registration

You must create an account to access most features of the Platform. You agree to:

• Provide true, current, and complete information
• Maintain and update your information as needed
• Keep your login credentials confidential
• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account.

3. Account Types

The Platform offers two primary account types:

• Client Account: For individuals or businesses seeking to hire freelancers
• Freelancer Account: For individuals offering professional services

Users may maintain both account types, subject to our approval and compliance with this Agreement.

4. Platform Services

TaskQuality provides a marketplace that facilitates connections between clients and freelancers. We do not:

• Employ freelancers
• Guarantee the quality, safety, or legality of services
• Act as a party to any contract between users

All agreements for services are solely between the client and freelancer.

5. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe intellectual property rights
• Post false, misleading, or fraudulent content
• Harass, threaten, or discriminate against others
• Interfere with Platform operations
• Use automated systems without permission
• Impersonate any person or entity

6. Content Ownership and License

You retain ownership of content you submit to the Platform. By posting content, you grant TaskQuality a worldwide, non-exclusive, royalty-free license to:

• Use, display, and distribute the content on the Platform
• Modify content for technical purposes
• Enforce this Agreement

You represent that you have all necessary rights to grant this license.

7. Payments and Fees

Clients must pay freelancers through the Platform's payment system. TaskQuality charges service fees as disclosed on the Platform. You agree to:

• Pay all applicable fees
• Provide valid payment information
• Resolve payment disputes directly with the other party

All payments are final unless otherwise agreed in writing.

8. Intellectual Property in Deliverables

Ownership of work product is determined by the agreement between client and freelancer. Unless otherwise specified:

• Clients receive a license to use deliverables for their intended purpose
• Freelancers retain portfolio rights

TaskQuality claims no ownership over user-generated work product.

9. Termination

You may terminate your account at any time. We may suspend or terminate your access if you:

• Violate this Agreement
• Engage in fraudulent activity
• Pose a risk to other users or the Platform

Termination does not relieve you of payment obligations incurred prior to termination.

10. Disclaimers and Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the fullest extent permitted by law, TaskQuality shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or goodwill
• Service interruptions or errors

Our total liability shall not exceed the fees paid by you in the 12 months preceding any claim.

11. Indemnification

You agree to indemnify and hold harmless TaskQuality, its affiliates, and personnel from any claims arising from:

• Your use of the Platform
• Your violation of this Agreement
• Your infringement of third-party rights

12. Dispute Resolution

Disputes between users should be resolved directly. For disputes with TaskQuality:

• Attempt informal resolution by contacting support
• If unresolved, submit to binding arbitration
• Waive right to class action proceedings

13. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Changes to This Agreement

We may modify this Agreement at any time. Material changes will be communicated via:

• Email notification
• Platform announcement
• Updated "Last Updated" date

Continued use after changes constitutes acceptance of the modified terms.

By using TaskQuality, you acknowledge that you have read, understood, and agree to be bound by this User Agreement.
